VMTM Booking Terms

Effective Date: November 25, 2025

These Booking Terms and Conditions ("Booking Terms") govern all bookings of models and talent ("Talent") represented by Verge Model & Talent Management ("Verge," "Agency," or "we") by the client ("Client").

​

By confirming a booking, the Client agrees to be legally bound by these Booking Terms, as well as the terms outlined in the specific Booking Confirmation and Invoice.

1. Definitions and Booking Confirmation

1.1 Booking

A "Booking" constitutes the agreement for the Talent's services for a specific assignment (shoot, fitting, show, etc.) at agreed-upon rates, confirmed verbally, electronically, or in writing between the Client and the Agency.

1.2 Agency Fee (Commission/Service Charge) 

The total fee charged to the Client for a Booking includes the Talent's professional fee (the "Shoot Fee") and a separate Agency Service Fee, typically calculated as a percentage of the Shoot Fee. This Agency Service Fee covers agency overhead, marketing, and management services. The Agency Service Fee is non-refundable and non-negotiable.

1.3 Booking Confirmation

No Booking is confirmed until the Client receives and accepts a written Booking Confirmation from the Agency, detailing the dates, rates, hours, services, usage, and any specific terms.

1.4 Provisional Bookings 

A Provisional Booking (or "Pencil") is a tentative hold on the Talent's time. The Talent remains available for other bookings until the booking is confirmed ("Confirmed Booking"). The Agency reserves the right to challenge a Provisional Booking with a Confirmed Booking ("First Option"). The Provisional Client will then have 48 hours to confirm the Booking, or the hold will be released.

2. Working Hours, Fees, and Overtime

2.1 Day and Half-Day Rates

  • Full Day (8 Hours): Covers continuous service within a specific time window (e.g., 9:00 AM – 5:00 PM).

  • Half Day (4 Hours): Covers continuous service within a specific time window (e.g., morning or afternoon).

  • Hourly Rate: Applicable only for bookings shorter than 4 hours, or for specific, non-shooting tasks like fittings.

 

2.2 Overtime (OT)

  • Standard Overtime: Any work conducted beyond the agreed-upon full or half-day period will be charged at 1.5 times (150%) the basic hourly rate.

  • Late Night/Weekend Overtime: Work after 10:00 PM, before 8:00 AM, or on national holidays/Sundays may be charged at 2 times (200%) the basic hourly rate.

 

2.3 Travel and Expenses

Travel time exceeding two (2) hours return from the Talent's home base, or other agreed-upon city is billable at 50% of the hourly rate. All travel, accommodation, and meal expenses related to the Booking must be approved in advance and reimbursed to the Agency by the Client.

 

3. Usage and Licensing Rights

3.1 Grant of License

The fees quoted for the Talent's time (daily, half-day) cover only the Talent's service time (the "Shoot Fee"). They do not include any license for usage of the images or media.

 

3.2 Usage Fees (Buyouts)

The Client must purchase a separate Usage License (a "Buyout") to use the images, video, or content created during the Booking. Usage fees are negotiated based on the following criteria:

  • Media: (e.g., Print, Digital, Broadcast, Social Media).

  • Territory: (e.g., Local, National, Worldwide).

  • Duration: (e.g., 6 months, 1 year, perpetual).

  • Exclusivity: (e.g., exclusive use within a specific product category).

 

3.3 Unauthorized Usage

Any use of the materials outside the specific scope (media, territory, duration) agreed upon in the Booking Confirmation constitutes a breach of contract and unauthorized use of intellectual property. The Client will be liable for a penalty fee equivalent to 2.5 times (250%) the standard usage fee for the unauthorized period and scope, in addition to standard fees.

 

3.4 Client Ownership of Final Product

While the Client owns the final photographic product, the Talent retains the underlying right to their image and likeness. All usage rights must be explicitly purchased from the Agency.

 

3.5 Specific Usage and Exclusivity

Unless explicitly agreed in the Booking Confirmation, no exclusivity is granted. If the Client requires the Talent not to work for specified competitors for a set time (e.g., a "conflict"), an additional exclusivity fee (conflict fee) must be negotiated, paid in advance, and clearly stated in the Booking Confirmation.

 

4. Cancellations and Postponements

4.1 Client Cancellation

The Client must provide written notice for any cancellation. The following cancellation fees apply:

  • More than 48 hours notice: No cancellation fee (unless significant preparatory costs have been incurred).

  • 24 to 48 hours notice: 50% of the agreed-upon total Fee (Shoot Fee + Usage Fee).

  • Less than 24 hours notice: 100% of the agreed-upon total Fee (Shoot Fee + Usage Fee).

 

4.2 Weather Postponement

If the Booking is postponed due to weather and the Client provides the Agency with less than 24 hours' notice, 100% of the Shoot Fee may be charged. If the Booking is rescheduled, this fee may be applied to the new date at the Agency's discretion.

 

4.3 Talent Sickness/Unavailability

If the Talent cancels due to verifiable sickness or emergency, the Agency will make every effort to find a suitable replacement. No fees will be charged to the Client by the Agency in this scenario.

 

5. Invoicing and Payment Terms

5.1 Invoicing

Invoices are issued by the Agency upon completion of the Booking. The invoice will include: the Talent's Shoot Fee, the Agency Fee (service charge), Usage Fees, and any approved expenses or taxes.

 

5.2 Payment Deadline

Payment is due in full within 30 days (Net 30) of the invoice date unless otherwise specified in the Booking Confirmation.

 

5.3 Late Payment

The Agency reserves the right to charge interest on all overdue payments at a rate of 5% per month (60% per annum), calculated from the due date until payment is received. The Client will also be responsible for any collection fees incurred.

 

5.4 Withholding Usage

If payment is not received by the due date, the Client’s Usage License is automatically revoked, and the Client must cease all use of the images/media until payment is rendered in full, including late fees.

 

6. Liability and Safety

6.1 Client Responsibility

The Client is responsible for ensuring the health, safety, and well-being of the Talent during the Booking, including providing a safe working environment and adhering to all workplace safety standards. The Client is required to provide adequate supervision for all Talent under the age of 18.

 

6.2 Insurance

The Client must maintain appropriate insurance coverage, including general liability and worker’s compensation, sufficient to cover the Talent during the Booking. The Agency is not liable for any injury, loss, or damage suffered by the Talent while on a Booking.

 

6.3 Objectionable Content

If the Booking involves sensitive, nude, semi-nude, or hazardous content, the Client must notify the Agency in advance. Failure to notify the Agency will result in the immediate termination of the Booking without refund, and the full fee will be charged. The Talent reserves the right to refuse any assignment they deem unsafe, unethical, or outside the scope of the confirmed Booking.

 

7. Disputes and Governing Law

Any disputes arising under these Booking Terms shall be governed by the laws of the Province of Alberta, Canada. Both parties agree to attempt good faith negotiation to resolve any dispute before resorting to litigation.​
