Verge Model & Talent Management ("Verge," "we," "us," or "our") provides talent management, booking, and promotional services for models and professional talent. These Terms and Conditions ("Terms") govern your use of the Verge website, all related services, and any interaction or communication you have with our agency, including submission of materials for representation.

By accessing or using our services, submitting information (including Model Call applications), or browsing our website, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

1. Scope of Agreement and Services

1.1 Management Relationship

Verge operates as an agency/management company that offers marketing, negotiation, and scheduling services to Talent. An agency relationship, including commission structures and exclusivity, is established only through a separate, written Talent Management Agreement signed by both parties. These Terms govern preliminary interactions only (e.g., website use, submissions).

1.2 Submissions and Open Calls

By submitting your materials (photos, measurements, résumés, etc.) via our website or attending an open call, you acknowledge that:

Submission of materials does not guarantee review, response, or representation by Verge.
You grant Verge a non-exclusive, royalty-free license to review and use the submitted materials solely for the purpose of evaluating your potential for representation.
All information provided by you is truthful, accurate, and current.

1.3 Age Restriction and Minors

The Verge website and services are intended for users who are 18 years of age or older. If you are under 18, you may only submit materials for potential representation if you have the express consent and supervision of a parent or legal guardian, who must agree to these Terms on your behalf. We reserve the right to refuse any submission where parental consent cannot be verified.

2. Intellectual Property and Content Rights

2.1 Ownership of Talent Materials

Talent retains all copyrights and ownership rights in their professional photographs, videos, and composite cards (collectively, "Talent Materials").

2.2 License to Verge

If Talent is signed to a written Talent Management Agreement, Talent grants Verge a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, display, and distribute the Talent Materials (including name, image, and likeness) for the sole purpose of securing employment for the Talent and promoting Verge’s services (e.g., on our public model board, marketing materials, and social media).

2.3 Website Content

All content on the Verge website (excluding Talent Materials) including logos, text, graphics, and underlying code, is the exclusive property of Verge and is protected by Canadian and international copyright and trademark laws.

3. User Conduct and Responsibilities

3.1 Unlawful or Prohibited Use

You agree not to use our services or website for any purpose that is unlawful or prohibited by these Terms. Prohibited activities include:

Submitting false or misleading information.
Harassing, abusing, or defaming other users, talent, or Verge personnel.
Attempting to interfere with the proper working of the Verge website or services.

3.2 Responsibility for Submissions

You are solely responsible for all content you submit to Verge. You warrant that you have the right to grant the licenses outlined in Section 2.2 and that your submitted materials do not violate the intellectual property or privacy rights of any third party.

4. Limitation of Liability and Disclaimers

4.1 NO GUARANTEE OF WORK

Verge makes no guarantee, representation, or warranty regarding the amount of work, income, or employment opportunities Talent will receive. Verge's obligation is limited to using reasonable, professional efforts to market and secure bookings for signed Talent.

4.2 Accuracy of Information

Verge strives for accuracy but does not warrant that the content on its website or in its communications is always current, complete, or error-free.

4.3 Limitation of Liability

To the fullest extent permitted by law, Verge, its founders, agents, and employees will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the website or the services provided by Verge.

4.4 Disclaimer of Warranties

THE VERGE WEBSITE AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

4.5 Third-Party Links

The Verge website may contain links to third-party websites or resources, such as photographer portfolios or industry news sites. We are not responsible for the content, products, or services on, or available from, those websites or resources, and links do not imply endorsement by Verge. You acknowledge sole responsibility for and assume all risk arising from your use of any third-party resources.

5. Indemnification

You agree to indemnify, defend, and hold harmless Verge, its officers, directors, agents, and employees from any claim, demand, damages, or costs (including reasonable legal fees) arising out of or related to:

Your breach of these Terms.
Your violation of any law or the rights of a third party.
Any claim that your submitted materials infringe upon the intellectual property or other rights of a third party.

6. Governing Law and Jurisdiction

These Terms and your use of Verge’s services shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Alberta for the resolution of any disputes.

7. Changes to Terms and Termination

7.1 Termination by Verge

Verge reserves the right, without notice and in its sole discretion, to terminate your access to and use of the website or related submission services for any reason, including, without limitation, if you breach any of these Terms.

7.2 Changes to Terms

Verge reserves the right to update or modify these Terms at any time without prior notice. The revised Terms will be posted on this page with a new Effective Date. Your continued use of the services after any such changes constitutes your acceptance of the new Terms.
